Job Overview

This is a global role with responsibility of managing various legal affairs for Firstsource and its global affiliates. There will be a well rounded exposure involving managing all legal aspects of the entities such as drafting, review and negotiating a variety customer and vendor agreements, review and response to RFPs, pre litigation and litigation support, liaising with external counsel, closing legal elements of transactions, legal advisory and responding to legal queries (both internal and client related), managing legal audit requirements and assisting in all other legal matters pertaining to Firstsource.

Responsibilities

  • Give accurate and timely counsel to executives in a variety of legal issues (commercial contract law, employment law, Data Protection law, property, partnerships, international ventures, corporate finance etc.)
  • Draft, review and independently negotiate Client, Contracts, RFPs, Tech Licensing Agreements, Operating/Finance Lease Agreement, SAAS Agreements, NDAs, Vendor Agreements, Lease and Leave & License Agreements, Employment Agreements, MOU, etc.
  • Negotiate, draft and implement multi-party agreements, including mergers and acquisitions, strategic alliances and joint ventures, and affiliation agreements.
  • Assist in internal governance policies legal and regulatory risk compliance program to ensure compliance with local and international legislations and regulations and implement same with functional departments.
  • Apply effective risk management techniques and offer proactive and pragmatic advice on possible legal issues.
  • Communicate and negotiate effectively with internal and external stakeholders (executive team, sales function, finance, procurement, regulators, external counsel, public authority etc.),
  • Drafting and reviewing legal notices, termination & suspension letters, etc.
  • Perform legal and regulatory research on applicable laws relating to compliance.
  • Analyse legal and regulatory requirements at the state level.
  • Maintain database and physical repository of contracts utilising our new CRM system.
  • Ability to partner with business leaders and support functions to solve problems, mitigate legal and compliance risks, and provide practical advice.
  • Standardize approaches across Business Units and partner with global teams to minimize Risk

Key Performance Indicators

  • Negotiate, draft and implement multi-party agreements, in client and vendor settings
  • Collaborate with management, business and other departments on compliance and any other issue identified
  • Provide legal support such as due diligence, review of agreements and advisory support to global Mergers and Acquisition team.
  • Ensure that business and compliance issues/concerns are being appropriately evaluated and resolved
  • Responsible for day-to-day management of direct reports, their development and growth in the function
  • Desire to be a generalist and lead response on a variety of tasks that come to an inhouse legal team

Qualification & Experience

  • University degree and qualified in India.
  • Overall Post Qualified Experience: 10 - 14 years
  • Industry Experience: In-house experience preferred.
  • Additional US/ UK qualified lawyer would be a bonus.
  • Proven commercial law experience.
  • Has sound legal knowledge to be able to provide critical and cost effective legal support and advice.
  • Able to manage and deliver internal and external communication on transactions/ projects to stakeholders in user friendly and efficient manner.
  • Familiarity working within compliance in addition is a bonus.

  • Individual should be aware of key and recent concepts in law that have evolved and established in business use.
